Terms of Service

1. Agreement to terms

These Terms of Service govern your access to and use of the ImbueIt platform provided by ImbueIt, Inc. By creating an account or using the service, you agree to these terms.

2. Accounts & eligibility

You must provide accurate information and are responsible for activity under your account. You must be able to form a binding contract to use ImbueIt. Founding Member access is offered free until public launch in exchange for feedback and a review, and does not create any obligation to purchase.

3. Acceptable use

• Do not misuse the platform, attempt to breach security, or scrape data.
• Do not upload unlawful content or infringe others’ rights.
• Do not misrepresent listings, deals, or your identity.

4. Marketplace, listings & deal rooms

ImbueIt provides tools to list opportunities, gate access via NDAs and data rooms, and manage deals. ImbueIt is a platform, not a party to transactions between members, broker-dealer, or financial advisor. You are responsible for your own due diligence, disclosures, and compliance with applicable law.

5. Payments

Marketplace payments are processed through a third-party payment provider and are subject to their terms. Founding Members lock a founding rate that applies when paid billing launches. Fees, once charged, are governed by the plan terms in effect at purchase.

6. Content & ownership

You retain ownership of the content and data you upload. You grant ImbueIt a limited license to host and process it solely to provide the service. ImbueIt and its trademarks remain our property.

7. Disclaimers & limitation of liability

The service is provided “as is” without warranties of any kind. To the maximum extent permitted by law, ImbueIt is not liable for indirect, incidental, or consequential damages, or for any deal outcome arising from use of the platform.

8. Termination

You may stop using ImbueIt at any time. We may suspend or terminate access for violation of these terms or to protect the platform and its members.

9. Changes & governing law

We may update these terms; continued use constitutes acceptance. These terms are governed by the laws of the jurisdiction in which ImbueIt, Inc. is organized.
